The article is dedicated to the analysis of general and special principles of economic activity, their significance, and importance in demonstrating and confirming due diligence in the selection of counterparties. The implementation and adherence to the principles of demonstrating and confirming due diligence in the selection of counterparties are crucial steps towards improving economic legal order and enhancing the efficiency of economic activity. They provide a basis for making informed decisions regarding the selection of counterparties, creating conditions for longterm stability and growth, ensuring the safety and reliability of business operations, and contributing to the overall improvement of the economic legal order.

The purpose of the article is to study the characteristics of the principles of demonstrating and confirming due diligence in the selection of counterparties.

Designed to ensure the effective and stable functioning of economic relations, the general principles of economic activity serve as foundational norms regulating the activities of business entities regardless of their industry affiliation. These include key principles such as legality, good faith, freedom of entrepreneurial activity, protection of property rights, and contractual freedom. While general principles form universal frameworks for conducting economic activities, special principles aim to detail and specify these frameworks considering the particularities of demonstrating and confirming due diligence in the selection of counterparties. Special attention is given to principles such as reliability, legal integrity, assessment, regularity, and documentary substantiation.

It is concluded that the principles underlying the algorithm for demonstrating and confirming due diligence in the selection of counterparties should be seen as integrative, i.e., aiming to ensure a substantive connection between the general and special principles of economic activity. The integrative goal is to create safe legal conditions for conducting economic activities and achieving the legitimate goals of business entities’ legal capacity. Based on the conducted analysis, the article proposes initiating legislative changes to the Commercial Code of Ukraine to officially enshrine special principles of economic activity. This would create more detailed regulatory frameworks, which would guaranteedly increase the transparency, accountability, and efficiency of business entities’ activities in various sectors of the economy.
